Monixa Terms of Use

Effective Date: November 3, 2025

1. Acceptance of Terms

By downloading, installing, accessing, or using the Monixa mobile application (“App”) or the Monixa website and related services (collectively, the “Services”), you agree to be bound by these Terms of Use (the “Terms”). If you do not agree to these Terms, do not download, install, access, or use the Services.

2. Services Provided

Monixa is an AI-powered market analysis platform that provides personalized investment recommendations, real-time alerts, and market insights generated from algorithms and data sources. All investment decisions are made solely by you through your own brokerage or exchange accounts—Monixa does not execute trades, provide custody, or hold client funds or securities.

The information and recommendations provided through the Services are for informational and educational purposes only. They do not constitute individualized investment, financial, legal, tax, or accounting advice, and no advisory relationship or fiduciary duty is created between you and Monixa by your use of the Services.

3. Platform Disclaimer (App Store & Google Play)

These Terms are between you and Monixa Inc., not with Apple Inc., Google LLC, or their subsidiaries. Apple and Google are not responsible for the App or its content, maintenance, support, or warranty obligations. You acknowledge that Apple and Google are third-party beneficiaries of these Terms and may enforce them against you.

4. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. By accessing or using Monixa, you represent and warrant that you meet this requirement.

All content, software, AI models, algorithms, designs, trademarks, logos, and other materials in the Services are owned by Monixa Inc. or its licensors and are protected by intellectual-property laws. Except as expressly permitted in writing, you may not copy, distribute, modify, create derivative works of, reverse-engineer, or otherwise exploit any part of the Services.

7. Regulatory Status & Licensing

Monixa is not a licensed financial advisor, broker-dealer, investment adviser, commodity trading advisor, or investment manager and does not claim any such status in any jurisdiction. Financial advisory activities may require licensing in many countries and regions. You are solely responsible for ensuring that your use of the Services complies with all applicable laws, regulations, and licensing requirements in your jurisdiction, including any restrictions on receiving investment recommendations.

8. Investment & Financial Disclaimers (Critical)

• No Investment Advice. Recommendations and insights provided by the Services are general informational outputs generated by AI and data sources and do not consider your personal financial situation. You should consult your own qualified professional advisers before making any investment, financial, or tax decisions.
• No Solicitation. Nothing in the Services constitutes a solicitation, offer, or recommendation to buy or sell any securities, digital assets, or other financial instruments.
• No Fiduciary Duty. Monixa does not act as your agent, fiduciary, or advisor.
• Assumption of Risk. All investments involve risk, including possible loss of principal. Past performance does not guarantee future results. You assume full responsibility for your investment decisions and outcomes.
• Third-Party Data. Market data and news may be provided by third parties and may be delayed, incomplete, or inaccurate. Monixa does not guarantee the accuracy, timeliness, or completeness of any information.

9. Limitation of Liability

To the fullest extent permitted by law:

• The Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory (including warranties of accuracy, merchantability, fitness for a particular purpose, non-infringement, and uninterrupted availability).
• Monixa and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, consequential, incidental, special, exemplary, or punitive damages, or for lost profits, lost revenue, trading losses, or data loss, arising out of or related to your use of (or inability to use) the Services, including reliance on any recommendations or insights, even if advised of the possibility of such damages.
• Monixa’s total aggregate liability for any claims arising out of or related to the Services shall not exceed the greater of: (a) the amounts you paid (if any) to Monixa for the Services in the twelve (12) months preceding the event giving rise to liability, or (b) USD $100.
• Some jurisdictions do not allow certain limitations; in such cases, the above limits apply to the maximum extent permitted by applicable law.

10. Indemnification

You agree to defend, indemnify, and hold harmless Monixa and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party right.

11. App Usage Requirements

Some features may require: (a) a stable internet connection, and/or (b) device permissions (e.g., notifications, storage). You are responsible for any carrier, data, or mobile charges.

12. Modifications to the Services and Terms

We may modify, suspend, or discontinue the Services (in whole or in part) and may update these Terms at any time. The latest version will be available in the App and on our website. Your continued use after changes become effective constitutes acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the Services at our discretion, including for any breach of these Terms. Upon termination, your right to use the Services will cease immediately, but the following sections will survive: 6–11 and 14–18.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. All disputes shall be brought exclusively in the state or federal courts located in Dover, Delaware, unless otherwise required by applicable consumer-protection laws. You and Monixa consent to personal jurisdiction and venue in those courts.

15. Export & Geographic Restrictions

You may not use or export the Services in violation of U.S. export laws or other applicable laws. Monixa may restrict access to the Services in certain jurisdictions where the Services, or aspects of them (including investment recommendations), may be prohibited or require licensing.

16. Third-Party Services & Links

The Services may display or link to third-party content or services. Monixa does not endorse, control, or assume responsibility for third-party content, services, terms, or privacy practices.

17. Electronic Communications & Notices

By using the Services, you consent to receive communications from us electronically. We may provide notices by posting within the App or website, emailing you, or by other reasonable means.

18. Miscellaneous

• Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our rights.
• Assignment. You may not assign or transfer these Terms; Monixa may assign them in connection with a merger, acquisition, or sale of assets.
• Entire Agreement. These Terms (and any policies referenced herein) constitute the entire agreement between you and Monixa regarding the Services.
